OUR MISSION
Simply put: our mission is to replace bad leaders with good leaders. How do we do that? The first step is getting involved. The members of the 12th District are ordinary citizens: pastors, teachers, factory workers, stay-at-home mothers, small business owners, etc. Everyday people can change the world if they’re armed with knowledge and participate in the process.
Here in the 12th District, our goal is to keep our activists informed on key issues that would impact our individual liberty, events that should be attended, and the activities of our elected officials.
We support our Constitution and the Bill of rights, and we want to hold elected leaders accountable to both.
Furthermore, we understand that the antidote for the corporatism of some on the right, and progressivism or so-called “democratic socialism” of some on the left is the unifying message of liberty including sound money, free markets, privacy and property rights, protecting contracts, and a strict adherence to the rule of law.
During today’s times of instability and uncertainty created by bloated overreaching government, we reject scaring people into socialism, rather we choose to lead them into liberty!

Bylaws of the
Wayne 12th Congressional District
Republican Committee
(Wayne 12th CDRC)
PREAMBLE
We the members of the Republican Party in the Wayne County portion of Michigan’s 12th Congressional District (Dearborn, Dearborn Heights - partial, Detroit – partial, Garden City, Inkster, Livonia, Redford, and Westland) being grateful to Almighty God for the Blessing of Freedom and being committed to honoring the guarantees of the United States Constitution, do hereby establish these bylaws for the preservation of the same, and for the strengthening of the Republican Party.
Article I - Name
This committee shall be known as the Wayne 12 th Congressional District Republican Committee, also known as the ‘Wayne 12th CDRC’. The Wayne 12th Congressional District Republican Committee holds exclusive control over its name and all its social media platforms.
The Wayne 12th Congressional District Republican Committee is recognized as a County Political party and a separate legal entity where the Committee files its own MERTS reports, has its own bank accounts, leadership, bylaws, and internal procedures. The only time the Wayne 12th CDRC operated under rules from either the district or state party is during a convention called by the Michigan Republican Party.
Article II - Purpose
The purpose of this committee shall be to perform all duties delegated by law, or state party rules, and such other duties not prohibited by law, or state party rules, as will benefit the general welfare of the Republican Party in the Wayne 12th Congressional District of the State of Michigan;
a. To coordinate the affairs and business of the Wayne 12th Congressional District Republican Committee of the State of Michigan.
b. To raise funds necessary to support the administrative, financial, and election goals of the Wayne 12th Congressional District Republican Committee.
c. To recruit, develop, and support, candidates for public office and new members for Republican committees, groups, and organizations who without exception, will demonstrate fidelity to both the Constitutions of the United States and the State of Michigan, and commit themselves to the defense of life, liberty, and property.
d. To support and strive to elect Republican candidates, who support the Party Platform, to public office.
Article III - Members
1. QUALIFICATION – Each member of the Wayne 12th Congressional District Republican Committee shall be a duly elected Precinct Delegate or elevated at a County Convention within the Wayne 12th CDRC.
2. MEMBERS - Members of the Executive Committee of the Wayne 12th CDRC, in accordance with State Party rules, shall consist of a fifteen (15) member board (referred to as the Committee) and four (4) officers—Chair, Vice-Chair, Secretary, and Treasurer. The terms of office for the (15) member board (the Committee) shall be two (2) years, commencing upon their election at the odd-numbered County Convention, concluding when new elections are held, and new officers are installed at the next odd-numbered County Convention. In addition, the Executive Committee members shall also consist of twelve (12) members of the Wayne County Republican Committee, also referred to as WCRC, (this section is subject to revision based
upon modifications made to the bylaws of the WCRC). Duly elected Precinct Delegates or those elevated at a County Convention who become a “member in good standing” as defined in Section 3 shall become members of the Wayne 12th CDRC. All members of the WCRC shall be voted on at the first Wayne 12th CDRC meeting following the County Convention in odd number years every two (2) years. Under no circumstance shall one (1) member have more than one (1) vote.

3. MEMBER IN GOOD STANDING - For a Precinct Delegate to become a member in good standing and therefore a member of the Wayne 12th CDRC, that member shall:
a. Be an active member of one of the sub-committees of the Wayne 12th CDRC;
b. Meet the attendance requirements as determined under Article III Section 7;
c. Have paid dues;
d. Complete one of the following options;
1. Attend six consecutive meetings of the Wayne 12th CDRC, or
2. A combination of a minimum of three consecutive Wayne 12th CDRC meetings along with:
i. volunteer with a conservative group to help organize an event participate as a volunteer at a conservative event;
ii. work as an Election Inspector or Poll Challenger. It must be a total of 6 in any combination. A volunteer slip must be filled out and signed by the organization’s representative. The Wayne 12th Secretary will be responsible for keeping track of delegates’ attendance and participation in these events.
3. Any Precinct Delegate that has qualified as a Member in Good Standing, as well as the members of the Executive Committee, will keep their voting rights year to year, if they have met and continue to meet the Member in Good Standing qualifications, until these bylaws are amended or new bylaws are adopted.
4. All members of the Wayne 12th CDRC Executive Committee shall also be bound by the requirements in Article III, Section 3, Letters a through c.
5. Vacancy—a vacancy on the Executive Committee or in the position of Member in Good Standing shall occur whenever that person moves their residency outside the boundaries of the 12th Congressional District; dies; resigns; fails to meet the attendance requirements of the District, as outlined in Section 7; fails to participate in one of the Wayne 12th CDRC’s sub-committees; or is removed for cause (being
extremely detrimental to the purpose clause set forth above); by a vote of 2/3 of the members of the Executive Committee then present and voting on the issue. If any member resigns, it must be in writing and submitted to the Chair and Secretary.
6. FILLING VACANCY If a vacancy in any office of the Executive Committee occurs, the chair shall notify the Executive Committee members via email/phone/first class mail and the Executive Committee shall nominate one or more candidates to fill the vacancy at the next regular meeting, following the notification of the vacancy. The vacancy shall be filled by election, by simple majority of the Wayne 12th CDRC of those present and voting at the next regular meeting, following the notification of the vacancy. If more than one (1) nominee is nominated, the voting shall be by secret ballot. The newly elected person shall serve out the remainder of the term.
7. ATTENDANCE Any member of the Executive Committee either missing three (3) unexcused Wayne 12th ’s CDRC meetings or fails to participate in at least one of the sub-committees of the Wayne 12th CDRC, shall relinquish his/her position on the Executive Committee. Any Member in Good Standing missing three (3) unexcused Wayne 12th ’s CDRC meetings or fails to participate in at least one of the sub-committees of the Wayne 12th CDRC, shall relinquish their voting rights. The Wayne 12th’s CDRC Secretary shall try to contact the member after the third consecutive unexcused absence by email and/ or phone. If there is no response from an Executive Committee member, a vacancy will be declared, and the position filled pursuant to the vacancy provisions contained in these bylaws. An excused absence is one where the member contacts the Chair or Secretary of the Wayne 12th CDRC before the meeting to seek an excused absence.
8. DUES are set at $20 Federal Reserve Notes per calendar year for voting members. The dues collected will go into the administrative account.

9. COMMUNICATION REQUIREMENT Members shall provide accurate contact information to the Secretary for purposes of receiving notices via mail, electronic mail, or telephone.
Article IV - Officers
The Officers of the Executive Committee for the Wayne 12th CDRC are the Chair, Vice-Chair, Secretary, and Treasurer. The terms of office shall be two (2) years, commencing upon their election at the odd-numbered County Convention, concluding when new elections are held, and new officers are installed at the next odd-numbered County Convention.
Article V – Duties of the Officers
1. CHAIR – The duties of the Chair shall be those provided for by law, State Party rules and these bylaws. The duties of the Chair shall also include such other duties not prohibited by law as may be required by action of the Executive Committee, including, but not limited to, the following:
a. Presiding at all meetings of the Wayne 12th CDRC, Executive Committee and being an ex-officio member of all other committees.
b. The Chair may create subcommittees and appoint, or remove, subcommittee chairs at his/her discretion; members to the subcommittee are not required to be members of the Executive Committee; action taken by a subcommittee is subject to the approval of the Executive Committee.
c. Be responsible for the day-to-day affairs of the Wayne 12th CDRC; coordinating activities with the Republican Party organizations within the Wayne 12th CDRC; and make expenditures up to $200 without prior approval of the committee— giving notice of the expenditure at the next regular meeting of the Wayne 12th CDRC.
d. If deemed appropriate by the chair, a budget will be prepared and submitted to the Executive Committee for approval. (For projects, events, etc.)
2. VICE-CHAIR - The Vice Chair shall preside at meetings of the Wayne 12th CDRC in the absence of, or at the request of, the Chair. The Vice-Chair shall perform such duties as requested by the Chair and/or the Executive Committee. May be designated by the Chair to serve as an ex-officio member of any committee. In the event the Chair is unable to act, the powers and duties of the Chair shall be assumed by the Vice-Chair until such time as the inability is removed, at which time the Chair shall resume the duties of the office.
3. SECRETARY - Secretary shall perform those duties normally assigned to the office of Secretary, including but not limited to: keeping a permanent record of the minutes and attendance at all meetings, making them available for inspection by Executive Committee members, and furnish copies of the minutes to the Wayne 12th CDRC Precinct Delegates and Executive Committee members; and shall send out notices as required by these bylaws via mail (letter/postcard) or by electronic mail, as requested by the Executive Committee members.
4. TREASURER—Shall have the care and custody of all monies paid to the Wayne 12th CDRC, and deposit those monies in a bank account in the name of the Wayne 12th CDRC; shall pay all duly authorized bills; shall be responsible for the proper filing of all financial reports, including all campaign finance reports required by law or the Secretary of State, to the appropriate reporting authority by the respective due date; keep an accurate record of all Wayne 12th CDRC funds using proper and orderly methods of all receipts and disbursements of funds; the records shall be open for inspection of the Executive Committee members; and provide to Executive Committee members an accounting of funds at each regular meeting of the Wayne 12th CDRC. If a due date may have been missed or knowingly will be missed, notice must be received by the Chair and Executive Committee within 24 hours of date known. The Treasurer upon leaving office as soon as practicable but no more than 20 days shall turnover to the new treasurer all funds, accounts, and other property pertaining to the affairs of the Wayne 12th CDRC. Disbursements shall be made upon the signature of the Chair and the Treasurer.

Article VI - Meetings
1. REGULAR MEETINGS – Wayne 12th CDRC meetings shall be held monthly, unless altered by a simple majority of the Executive Committee during a regular meeting by those present and voting.
2. SUB-COMMITTEE – The sub-committee shall meet at least once quarterly, or as deemed appropriate by the chair of the sub-committee and shall submit a report to the Wayne 12th CDRC following each meeting.
3. SPECIAL MEETINGS – May be requested by phone call, in writing, or by electronic mail, by ten (10) Executive Committee members or by the Chair and given pursuant to these bylaws. Such meetings may be conducted in person, as a regular meeting would be, or may be conducted online (e.g., Zoom) if deemed necessary.
4. QUORUM – The Executive Committee, present and voting, shall consist of 50% plus one (1) of the elected four (4) officers, fifteen (15) committee members, and twelve (12) WCRC members, as determined under Article III, Sections 2 and 3.
5. PROXY – Any member of the Executive Committee may designate in writing via email or letter a proxy to represent him/her at any meeting of the Wayne 12th CDRC. If a member fails to assign a proxy, then the Chair shall do so. A proxy shall be a Precinct Delegate, registered voter and reside in the Wayne 12th CDRC. Under no circumstances shall a person have more the one (1) vote.
6. NOTICE – An email notice of the regular Wayne 12th CDRC meeting shall be sent to each Precinct Delegate of the Wayne 12th CDRC with the notice of time, date, place and call for agenda items (for approval by the Chair) 14 days prior to meeting. A tentative agenda will be sent out 7 days prior to meeting. For an emergency meeting of the Executive Committee a 24-hour notice shall be given and likely will be as a teleconference (e.g., Zoom) as opposed to in-person meeting.
7. RESOLUTIONS – A member in good standing or Precinct Delegate can bring a resolution to any Executive Committee member. Any resolutions to be brought before the Wayne 12th CDRC must be mailed or electronically transmitted to the Chair or Secretary not less than three (3) days prior to the next regular meeting. An exception is made where there is an emergency or special meeting.
8. WAYNE COUNTY REPUBLICAN COMMITTEE (WCRC) – The members elected to the WCRC from the Wayne 12th CDRC are required to attend the first meeting of the WCRC following State Convention in the odd-numbered years for the purpose of electing WCRC Officers. All other meetings of the WCRC are attended on a voluntary basis. The members elected to the WCRC reserve the right to assign proxies to such meetings, subject to WCRC bylaws.
Article VII - Endorsements
In a general election OR OFF-YEAR PRIMARY, candidates may seek a Wayne 12th CDRC endorsement by submitting a written request to the Chair at least fifteen (15) days prior to a regular meeting. A general election endorsement shall require a simple majority vote. However, the Wayne 12th CDRC also maintains the right to not endorse a given candidate. The Wayne 12th CDRC reserves the right to endorse or not endorse in a contested Republican primary, based on candidate vetting. In a general non-partisan election, a candidate may seek the Wayne 12th CDRC’s endorsement by submitting a written request at least fifteen days prior to a regular meeting. Any such endorsement shall require two-thirds (2/3) vote of the Executive Committee and Members in Good Standing present and voting. This article does not prohibit or restrict the right of any member of the Wayne 12th CDRC to personally endorse a candidate.

Article VIII – Electronic Media and Communications
The Wayne 12th CDRC shall make use of any and all electronic means of communication it deems fit to promote its views and disseminate public information.
1. The ownership of any electronic domain is that of the Wayne 12th CDRC. The Chair shall be listed as the administrative contact used by the Wayne 12th CDRC.
2. No links to off sites will be made without a disclaimer that content on that link is not the opinion or ideas expressed by the Wayne 12th CDRC. A disclaimer of copyright of any blog entry made by nonmembers, and a disclaimer that the Wayne 12th CDRC does not endorse any blog comments made on its blogs.
3. All email accounts with the Wayne 12th CDRC domain are the property of the Wayne 12th CDRC and shall be used for official business of the Wayne 12th CDRC. All correspondence is subject to review by the Officers of the Wayne 12th CDRC.
4. No member of the Wayne 12th CDRC shall express ideas, or opinions on behalf of the Wayne 12th CDRC publicly, without the express consent of the Wayne 12th CDRC, by 2/3 (two-thirds) vote of the Executive Committee and Members in Good Standing present and voting.
Article VIIII - Procedure
Robert’s Rules of Order, Newly Revised, current edition, shall govern the Executive Committee in all cases where said rules are not in conflict with these bylaws or Michigan Republican State Party rules or bylaws. These bylaws shall remain in effect until amended by the Wayne 12th CDRC Executive Committee. During times of County Convention or State Convention, the County Convention Rules and State Convention Rules govern the activities of the Wayne 12th CDRC.
Article X - Adoption
These bylaws shall be adopted when approved by two-thirds (2/3) majority of the Wayne 12th CDRC’s Executive Committee, present and voting, at the meeting at which they are presented, provided that a copy of the bylaws has been furnished with the meeting notice.
Article XI – Amendment of Bylaws
These bylaws may be amended by two-thirds (2/3) majority of the Wayne 12th CDRC’s Executive Committee, present and voting, provided that notice of any proposed amendment shall be furnished to members with the meeting notice before the next regularly scheduled meeting.
